Mannasat website is owned by Bander Bafakih Information Technology, registered in Dubai under commercial license number: 1015641, welcome you. We would like to inform you that below you will find the terms and conditions governing your use of the platform systems and all legal consequences resulting from your use of the website services on the World Wide Web. The use of the Mannasat.net website by any individual, whether a consumer, merchant, or otherwise, constitutes their consent and acceptance, acknowledging their full legal capacity to comply with all the provisions and terms of this agreement. By agreeing to these terms, you confirm your commitment to abide by its regulations and provisions. Please note that the systems of the Mannasat.net website may include an electronic website, a mobile application, or an electronic platform. This agreement shall be effective and enforceable upon your agreement and commencement of the registration process on the Mannasat.net website.

Clause 1 – Introduction and Definitions:

The above preamble is an integral part of this agreement. Below you will find the meanings and definitions of key terms used in this agreement:
"(Platforms owned by Bander Bafakih Information Technology and registered in Dubai)" includes all forms of Bander Bafakih Information Technology on the World Wide Web, whether it is an electronic application or a website on the World Wide Web.
"Merchant" refers to any merchant who registers on the Mannasat.net website to establish their online store, whether they are a natural or legal person. This definition includes all aspects of the store as long as it conducts its business through the Mannasat.net website, including the merchant's website.
"Store" refers to the store used by the merchant on the Mannasat.net electronic platform.
"Consumer" refers to any consumer who purchases a product or service from the merchant through the merchant's online store established via the Mannasat.net website.
"Agreement" refers to the rules, terms, and conditions governing the use of the Mannasat.net website, including all provisions and conditions of this agreement that govern and regulate the relationship between the parties to this agreement.
"Service Provider" refers to the services provided by the Mannasat.net website to merchants through third parties. Providing services means merely facilitating the connection between the merchant and the service provider. Mannasat.net has no authority or involvement in the agreement concluded between the merchant and the service provider.

Clause 2 – Merchant's Legal Eligibility:

The merchant acknowledges that they have full legal capacity, both religiously and legally, and that they are at least eighteen (18) years old, as recognized by the laws and regulations in the United Arab Emirates. They also confirm that they have sufficient knowledge to establish, establish, and manage their online store through the Mannasat.net website.
The merchant acknowledges that they have sound eligibility and are not afflicted with any impediments to eligibility.
If the merchant registers as a corporation, company, or any other legal entity, that entity must have the necessary legal, regulatory, and Shariah eligibility to conduct commercial activities through the Mannasat.net website.
The merchant agrees that in the event of a violation of this clause, "Merchant's Legal Eligibility," they will bear the consequences of such violation towards consumers, users, or others. The Mannasat.net website has no legal, regulatory, or Shariah involvement in the merchant's transactions with consumers or others. In this case, the Mannasat.net management reserves the right to hold the merchant accountable under contractual liability provisions and seek compensation for any damages that may arise as a result of this violation. Such damages may include harm to the reputation of the Mannasat.net electronic platform among other merchants, consumers, users, or others.

Clause 3 – Nature of Mannasat.net's Obligation:

The primary task of the Mannasat.net electronic platform is to provide electronic support tools by establishing the merchant's online store and presenting it to users.
Mannasat.net may provide additional services to the merchant or the store, such as marketing support services, guidance and counseling services, as well as online payment gateways. All services provided by Mannasat.net are subject to the provisions and terms of this Agreement.
Mannasat.net is not obligated to complete sales transactions between the consumer and the store. Its obligation ends with the provision of services to establish the merchant's online store through the Mannasat.net website. This does not affect the other services continued to be provided by Mannasat.net, such as guidance, technical support, marketing, and payment methods.
Mannasat.net may temporarily offer some free services to certain stores, such as allowing the merchant to modify the appearance, design, or colors of the store according to their preference. These services are provided by Mannasat.net free of charge, subject to specific limitations and restrictions. If the merchant desires additional services, they should contact Mannasat's technical support to inquire about offers, package fees, and additional services.
All transactions between the merchant and the consumer are independent of the Mannasat.net website. Mannasat.net is not responsible for any violations or defaults arising from these transactions. If the consumer fails to pay for the service or product provided by the merchant, Mannasat.net is not liable for these violations.
All transactions between the merchant and service providers (third-party services) that Mannasat.net connects or offers services with are independent of the Mannasat.net website. Such transactions are governed by the agreement between the merchant and the service provider. Therefore, if any party fails, refuses, or neglects to fulfill their obligations as agreed or fails to execute them as required, Mannasat.net is not responsible for the consequences of these actions. Mannasat.net is not liable for any violations or misconduct occurring between the merchant and the service provider.
You acknowledge that the Mannasat.net website is an electronic platform on the internet that enables the merchant, who agrees to this agreement, to establish their online store and conduct their business through it. The duty of the Mannasat.net website ends at this point. Mannasat.net bears no responsibility for any violations committed by the merchant within their store in contravention of the provisions of this agreement. Mannasat.net has no involvement in transactions between the merchant and the consumer.

Clause 4 – Guidelines for Establishing an Online Store:

Any person who has valid legal eligibility, both legally and religiously, may establish their store in accordance with the rules and provisions of the Terms of Use Agreement, particularly "Clause 2 – Merchant's Legal Eligibility."
The store established through the Mannasat.net website must comply with the laws and regulations in the United Arab Emirates. The merchant is responsible for clarifying the nature of the e-commerce activities conducted through their store and the nature of the services or products offered or sold. Mannasat.net disclaims any responsibility for the store's violation of UAE regulations, public morals, and ethics. Mannasat.net reserves the right to reject the registration of any online store that does not comply with the laws, regulations, or provisions of this Agreement. Therefore, the merchant acknowledges, according to the terms of the Agreement, that their store does not violate the public order in the United Arab Emirates or Islamic ethics.
The store established through the Mannasat.net website must not violate the rules and provisions of this Terms of Use Agreement. The merchant also acknowledges that the store's physical location for conducting business is in compliance with this agreement, as well as the applicable laws and regulations in the United Arab Emirates.
No person shall use the Mannasat.net website if their membership or store has been canceled by the Mannasat.net administration or by court orders or judgments.
If any user registers as a corporation, company, charity, or legal entity, the registered entity shall be bound by all the rules and provisions mentioned in the Terms of Use Agreement specific to the Mannasat.net platform.
All stores and merchants must comply with all applicable laws and regulations governing online commerce, as well as the Cybercrime Law, the Ministry of Commerce and Investment regulations, the Electronic Transactions Law, and the E-commerce Law.
The merchant acknowledges that, before registering on the Mannasat.net website, they have verified the availability of all necessary procedures and requirements from the official authorities in the United Arab Emirates and have fulfilled all these procedures and requirements to engage in their business activities within the store.

Clause 5 – Payment and Settlement Services for Stores on the Mannasat.net Website:

Mannasat.net, through its partners, provides a payment and settlement system on its platform, which can be done entirely online through the available payment options on the Mannasat.net website.
Mannasat.net has no involvement in the cash-on-delivery payment method. This payment method is subject to the relationship between the consumer, the merchant, and the service provider.
Mannasat.net may require that payment transactions be made directly between the merchant and the consumer, using their respective bank accounts. In such cases, Mannasat.net has no involvement in the process.
The provision of online payment services through the platform is intended to facilitate and safeguard the rights of merchants and stores.
The merchant is responsible for determining the price of the service or goods offered in their store based on the market value commonly recognized. Mannasat.net has no involvement in misestimating the cost of products or services offered in stores on its platform. The merchant's estimation, in line with commercial conventions, is their sole responsibility.
The merchant is obliged to provide invoices, receipts, and payment vouchers for all amounts and profits generated in their store. They are required to specify the type, quantity, description, and value of the goods or services in all these documents. Therefore, the merchant must comply with the accounting standards required in their online store, in accordance with the provisions of this agreement, which serve the legal, economic, and commercial interests of merchants. In case of any violation of this provision by the merchant, they shall be held responsible for any damages resulting from such violation.
Mannasat.net has the right to prevent the completion of any payment transaction that violates the rules and provisions of the Terms of Use Agreement or to cancel any purchase or sale order due to a technical or technological error on the platform that resulted in a discrepancy between the displayed prices on the platform and the market value of the product, including any loss to Mannasat.net. Mannasat.net shall not be held responsible for such amounts.
Mannasat.net has the right to cancel, modify, or change any of the payment methods provided on the Salla platform.

Clause 6 – Personal Information and Transaction Details:

You have no objection to granting the Mannasat.net website an unlimited, global, perpetual, irrevocable, free, and licensed right to use the personal information, materials, or other information provided or disclosed by you through joining or establishing your store on the platform, whether through dedicated communication and registration forms or any other electronic communication or available channels on the platform. This is done to achieve any interests deemed appropriate by the platform.
The confidentiality of store and merchant information is subject to the "Privacy and Confidentiality Policy" specific to the Mannasat.net electronic platform.

Clause 7 – Merchant's Commitment to Compliance with Laws and Regulations in the United Arab Emirates:

The merchant commits to complying with all laws and regulations applicable within the United Arab Emirates regarding their products and/or while using the Mannasat.net platform, as well as the laws, terms, and conditions governing the use of the Internet space, the Terms of Use Agreement, and the Privacy and Confidentiality Policy implemented by the Mannasat.net website.
In case any merchant violates the provisions stated in Clause 10, the merchant acknowledges the right of Mannasat.net to take any necessary measures, including but not limited to issuing warnings, suspending services and closing the store, and refunding any pending amounts in electronic payments to consumers.

Clause 8 – Rights:

All content present on the Mannasat.net website, whether electronic or otherwise, written or unwritten, including but not limited to written and non-written texts, graphic designs, technical ideas, logos, presentations, button icons, symbols, audio clips, aggregated data, and software programs, is the property of Mannasat.net, and its rights are protected under intellectual property rights and trademark laws. No entity is permitted to use them in any form, whether directly or indirectly, or through a third party.
The management of the Mannasat.net website emphasizes that it will take appropriate action against any infringement or violation of the intellectual property rights owned by Mannasat.net or its intellectual property.
Mannasat.net is not responsible for any infringement on the intellectual property rights owned by the members' merchants on the platform or registered stores.

Clause 9 – Intellectual Property:

The merchant commits to complying with all laws and regulations applicable within the United Arab Emirates regarding their products and/or while using the Mannasat.net platform, as well as the laws, terms, and conditions governing the use of the Internet space, the Terms of Use Agreement, and the Privacy and Confidentiality Policy implemented by the Mannasat.net website.
In case any merchant violates the provisions stated in Clause 10, the merchant acknowledges the right of Mannasat.net to take any necessary measures, including but not limited to issuing warnings, suspending services and closing the store, and refunding any pending amounts in electronic payments to consumers.

Clause 10 – Consumer:

The consumer, during the completion of their purchase transactions, provides the Mannasat.net website with the following information, including but not limited to: name, email, and phone number.
The systems of the Mannasat.net website retain consumer data to facilitate their access to the platform and enable them to complete their desired purchase transactions.
In consideration of consumer rights, and despite the fact that the consumer is not a party to this agreement, and with the aim of providing high-quality service to all, and to ensure that consumers receive all their purchases correctly, Mannasat.net clarifies the following to the next merchant:
If the consumer purchases a product using one of the available payment methods on the Mannasat.net website and does not receive the product or receives a product that differs from the specifications mentioned on the store's page, the consumer has the right to notify Mannasat.net. Mannasat.net has the right to take appropriate action against the store that violates the rules of this agreement, in accordance with the provisions of this agreement. However, Mannasat.net is not legally or religiously responsible for this violation by the merchant in relation to the consumer, as it is not a party to the relationship between the consumer and the merchant. However, it does so for the purpose of improving the quality of the Mannasat.net electronic platform and the merchants present on the platform.
The consumer should review their purchases before receiving them to ensure that they are in good condition and match what has been purchased. Mannasat.net is not responsible for the relationship between the consumer and the merchant.

Clause 11 - Platform Responsibility:

The 'Mannasat' electronic platform is not liable in any form for any non-performance or delays by merchants, delivery companies, shipping providers, electronic payment gateways, or banks, nor for any losses, damages, or delays due to unavailable goods or poor service quality provided by the merchants.
The 'Mannasat' electronic platform is not responsible for any claims arising from errors, negligence, whether direct or indirect, or actions of third parties.
The 'Mannasat' electronic platform is not liable for any claims or responsibilities resulting from financial losses, reputation damage, defamation, or any harm caused by misuse, abuse, or inability to use the platform. The platform does not bear any responsibility in such cases.
The 'Mannasat' electronic platform, its staff, owners, and representatives are not liable for any claims, disputes, costs, damages, or liabilities arising from the actions of platform users.
The 'Mannasat' electronic platform, its staff, owners, and representatives are not responsible for any claims, damages, or liabilities resulting from the actions of third parties, including unauthorized activities or violations of intellectual property rights and copyrights.
The 'Mannasat' electronic platform, its staff, owners, and representatives have no involvement in any illegal or unauthorized activities conducted by merchants or any activities that violate the laws and regulations of the United Arab Emirates. The responsibility of 'Mannasat' is limited to providing electronic support tools for establishing online stores and related support services.

Clause 12 - Confidentiality of Information:

The internet (cyberspace) is not a secure medium, and the confidentiality of personal information cannot be guaranteed 100% online.
Mannasat implements high-quality standards (tangible, organizational, and technical) to protect users' personal information and the confidentiality of their stores.
The Mannasat electronic platform has no control over the actions of any third party, including other websites linked to the platform or third parties claiming to represent or act on behalf of the users.
By providing your information to Mannasat, you acknowledge and agree that Mannasat may use the information you have provided to deliver services on the platform and send marketing messages to you. The privacy policy of Mannasat governs the collection, processing, use, and disclosure of your personal identity information.

Clause 13 - Store Closure Request:

Merchants have the right to submit a request to close their registered store in the 'Mannasat' electronic platform database. When submitting the request, the merchant must provide certain documents, such as a closure request signed by the authorized representative of the store and authenticated by official authorities.
The 'Mannsat' administration reserves the right to accept or reject the closure request and may claim any rights or outstanding financial obligations from the merchant.

Clause 14 - Prohibited Contents and Products:

As a merchant on the 'Mannasat' electronic platform, you agree not to advertise or publish any content that violates the privacy policy, confidentiality rules, or terms and conditions of this agreement.
'Mannasat' strictly prohibits the sale of the following products and services, including but not limited to: products/services involving gambling, luck-based boxes or random items, products/services that may cause physical or psychological harm, pirated content or subscriptions, and any content or products that infringe intellectual property rights, copyrights, or promote sexual or pornographic content.

Clause 15 - Access Restriction or Membership Termination:

Without prejudice to other merchants' rights, the 'Mansat' electronic platform has the authority to suspend, cancel, or restrict a merchant's membership or access to platform services at any time, without prior notice and without specifying the reasons.

Clause 16 - Merchant's Responsibility:

The merchant agrees to take responsibility and indemnify the "Mannasat" electronic platform, its affiliates, owners, or related parties for any damages that may occur on the platform due to the merchant's violations. The merchant also undertakes to prevent any harm or mitigate any damage that may be caused to "Mannasat," its affiliates, or any third party as a result of misuse by the merchant or users, which may lead to a breach of the terms of use or the laws and regulations applicable in the United Arab Emirates, or infringement on the rights of other merchants or third parties, or a complaint from a user or a third party.

None of the rules and provisions of this agreement imply a partnership between any merchant and the 'Mansat' electronic platform. 'Mansat' does not allow any merchant to directly or indirectly imply or suggest the existence of any relationship, whether direct or indirect, between them as a merchant and the 'Mansat' electronic platform or its management. Any notifications that the merchant wishes to send to the 'Mansat' electronic platform must be sent via email, and 'Mansat' will respond to the email message. As a merchant, you agree that any notifications sent to you by the 'Mansat' platform will be delivered to you through the email address you provided during the registration process.

Clause 17 - Relationship and Notifications between Mannasat and Merchants:

None of the rules and provisions of this agreement imply a partnership between any merchant and the 'Mansat' electronic platform. 'Mansat' does not allow any merchant to directly or indirectly imply or suggest the existence of any relationship, whether direct or indirect, between them as a merchant and the 'Mansat' electronic platform or its management. Any notifications that the merchant wishes to send to the 'Mansat' electronic platform must be sent via email, and 'Mansat' will respond to the email message. As a merchant, you agree that any notifications sent to you by the 'Mansat' platform will be delivered to you through the email address you provided during the registration process.

Clause 18 - Applicable Law and Legislation:

This agreement is governed by and construed in accordance with the laws, regulations, and legislation in force and applicable in the United Arab Emirates, and it is fully subject to the legislation in force with the authorities in the United Arab Emirates.

Clause 19 - Rules for Merchants' Conduct when Dealing with Consumers:

The merchant commits to honesty, integrity, and good moral conduct when dealing with consumers.

Clause 20 - Technical Support:

In accordance with the rules and provisions of this agreement, the "Mansat" electronic platform provides certain technical support services to stores and merchants, depending on the package in which the store is enrolled. Examples of these services include a free control panel for stores, which includes some free services. If the merchant wishes to add additional services or different services, it is subject to the "Mansat" electronic platform's policy, which often incurs financial fees. The "Mansat" electronic platform allows stores to communicate with the technical support team through the control panel or via email at support@mannasat.net, to assist stores in their operations on the platform and resolve any technical issues that may arise.

Clause 21 - Dispute Resolution:

In accordance with the rules and provisions of this agreement, in the event of a dispute, it shall be resolved through reconciliation, negotiation, or amicable settlement. If the dispute persists, it shall be resolved by the competent authorities in the United Arab Emirates.

Clause 22 - General Provisions:

If any provision or clause contained in this agreement is canceled or any provision or clause in this agreement becomes invalid, such cancellation or invalidity does not affect the validity of the remaining provisions, clauses, rules, and provisions contained in this agreement, which shall remain in effect until further notice from the management of the 'Mansat' electronic platform.
This agreement, which may be amended from time to time as required, constitutes the mechanism of operation, understanding, agreement, and contract between the merchant, their store, and the 'Mansat' electronic platform, and the merchant and the store are committed to complying with the provisions of this agreement. The merchant also agrees to take into consideration the following:
This agreement is applicable to all users of the 'Mansat' electronic platform and governs the relationship and acts as the contract between the merchant and the 'Mansat' electronic platform only, regardless of any legal form, legal entity, institutional, commercial, or charitable entity adopted by the merchant or the store. As for the relationship between the merchant and the consumer, it is subject to an independent legal relationship with its own regulations between them.
The store must have its own user agreement in accordance with the provisions of the laws and regulations applicable in the United Arab Emirates, particularly the Electronic Transactions Law, E-commerce Law, and other regulations related to the merchant's activities.
If this agreement is translated into any other language, whether on the 'Mansat' electronic platform or elsewhere, the Arabic text of this agreement shall prevail in all transactions.
This agreement shall not be canceled or modified except by a decision issued by the management of the 'Mannasat' electronic platform, owned by Bandar Bafakih Information Technology.
